It is that time of year again when we come together to celebrate our
accomplishments, vote in a new board of directors, and review changes to
our bylaws and structure document.

document before the meeting. In the document, we have provided reasons in
comments. Highlights include the following:

   - Codifying membership gained through sweat equity.
   - Moving away from consensus to voting.
   - Requiring working groups to submit nominees to serve on the board.
   - Dropping quorum for the board to 5 members.
   - Allowing the board to remove board members due to 3 unexcused absences.
   - Requiring keystaff to be IMC members in good standing.
   - Having the board vote in officers instead of the membership.
   - Allowing the board to close meetings for sensitive issues with 2/3
   vote.
   - Allowing the board to set membership benefits and criteria.
