[Imc-bodissue] BoD Disempowerment Action

I have often heard that "the first act of the UCIMC Board was to vote
to disempower itself".

Could someone send me (or send to bodissue at ucimc.org) a reference to
or the actual text of the resolution that was passed by the BoD?

If some enterprising person would like to look up the Illinois
statutes governing Boards of Directors of non-profit organizations and
send reference to that to bodissue at ucimc.org that would be great.
